These Terms of Service (“Terms”) govern your subscription to and use of the ARGOS product provided by Prymera Consulting Private Limited (“we”, “us”). By subscribing to or using the service, you (the “Customer”) agree to these Terms.
1. The service
ARGOS is a source-grounded AML compliance product providing cited regulatory answers, PEP/sanctions and adverse-media screening, and an audit-ready trail. We grant you a non-exclusive, non-transferable right to access and use the service for your internal business use during your subscription term, subject to these Terms and your plan’s limits.
2. Accounts & access
Access is invite-only and role-based. You are responsible for your users’ activity, for keeping credentials secure, and for ensuring your users comply with these Terms and our Acceptable Use Policy.
3. Nature of the service — professional responsibility
ARGOS is a decision-support tool. Its answers are cited to official sources, but they do not constitute legal, regulatory, or compliance advice and do not replace the judgement of a qualified professional such as an MLRO. You are responsible for verifying critical findings against the primary sources and for your own regulatory decisions. We are not liable for decisions you make based on the service.
4. Fees
Fees, billing frequency, and plan limits are as set out in your order or on our Pricing page. Unless your order says otherwise, fees are exclusive of applicable taxes, and subscriptions renew for successive terms unless cancelled before renewal.
5. Cancellation & refunds
You may cancel renewal at any time before the next term begins; cancellation takes effect at the end of the current paid term. Except where required by law or expressly stated in your order, fees already paid are non-refundable. On termination you keep the export and deletion rights set out in the SLA.
6. Data protection
Our processing of personal data on your behalf is governed by our Data Processing Agreement, which forms part of these Terms. You remain the controller of the data you submit. Our sub-processors are listed on the Sub-processors page.
7. Intellectual property
We (and our licensors) own the service, including all software, models integrations, the corpus configuration, and the ARGOS and Truoco marks. You own the data you submit. You grant us the limited rights needed to process that data to provide the service. We do not use your data to train models.
8. Service levels & support
Availability, support response times, and backup/recovery commitments are set out in our SLA.
9. Warranties & disclaimers
We warrant that we will provide the service with reasonable skill and care. Except as expressly stated, the service is provided “as is”, and we disclaim all other warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the service will be uninterrupted or error-free, or that outputs will be complete or accurate for every use.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total aggregate liability arising out of or relating to the Agreement is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
11. Confidentiality
Each party will protect the other’s confidential information and use it only to perform under the Agreement.
12. Term & termination
These Terms apply for your subscription term. Either party may terminate for material breach not cured within 30 days of notice. We may suspend access where required to protect the service, other customers, or to address a serious breach of the Acceptable Use Policy.
13. Governing law
These Terms are governed by the laws of India, with the courts at Kolkata, West Bengal having jurisdiction, subject to any mandatory rights under your local law. Enterprise orders may specify a different governing law or dispute-resolution mechanism.
14. Changes
We may update these Terms; we’ll give reasonable notice of material changes. Your continued use after changes take effect constitutes acceptance. Signed orders prevail over this page where they conflict.
